Terms of Service

1. Acceptance of Terms
By creating an account or using NovoVendi (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must not use the Service.
2. Description of Service
NovoVendi is a centralized management platform for WooCommerce stores. The Service allows you to connect, monitor, configure, and manage multiple WooCommerce stores from a single dashboard. NovoVendi interacts with your stores via the WooCommerce REST API or a WordPress bridge plugin installed on each store.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials (including API keys and bridge tokens) and for all activity under your account. You must notify us immediately of any unauthorized access.
4. Permitted Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:
- Use the Service to manage stores you do not own or have written authorization to manage
- Attempt to gain unauthorized access to other users' data or the Service infrastructure
- Reverse-engineer, decompile, or otherwise attempt to extract source code from the Service
- Use automated means (bots, scrapers) to access the Service beyond the provided APIs
- Transmit malicious code or interfere with the Service's operation
5. Your Data & Store Credentials
You retain ownership of all data you provide to the Service, including store URLs, API credentials, and configuration data. By connecting a WooCommerce store, you authorize NovoVendi to read and write settings, product data, order metadata, and other information via the WooCommerce REST API or bridge plugin as necessary to provide the Service.
Credential responsibility: You are solely responsible for generating, rotating, and revoking WooCommerce API keys and bridge tokens. NovoVendi stores credentials in encrypted form and never exposes them in API responses.
6. Data Processing & Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
7. Third-Party Store Data
When you use NovoVendi to manage WooCommerce stores, you may process personal data of your customers (e.g., order information, customer names, email addresses). You are the data controller for this data. NovoVendi acts as a data processor on your behalf. If you require a Data Processing Agreement (DPA), please contact us.
8. Team Access & Multi-User Accounts
If you invite team members to your NovoVendi account, you are responsible for their actions within the Service. You must ensure that team members with access to sensitive store data comply with applicable data protection laws and your own privacy obligations to your customers.
9. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes.
10. Limitation of Liability
To the maximum extent permitted by applicable law, NovoVendi and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to NovoVendi in the twelve (12) months preceding the claim.
NovoVendi is not responsible for actions taken on your WooCommerce stores as a result of configuration changes initiated through the Service. You should always verify settings changes on your live stores.
11. Indemnification
You agree to indemnify and hold harmless NovoVendi, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Account Termination
You may delete your account at any time through the App Settings page. Upon deletion, all your data — including stores, settings, audit logs, and team associations — will be permanently removed. We may also terminate or suspend your account for violations of these Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which NovoVendi operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or via a prominent notice within the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
